SharkCluster Terms & Conditions govern your access to our management panel, APIs, and provisioning systems.

These Terms & Conditions ("Terms", "Agreement") govern your access to and use of SharkCluster's website, management panel, APIs, provisioning systems, and related software (collectively, the "Service"), operated by Coreway Solution, doing business as SharkCluster ("SharkCluster", "we", "us", or "our").

By creating an account, accessing the dashboard, connecting cloud credentials, or provisioning servers through the Service, you ("Customer", "User", "you") agree to be legally bound by these Terms.


1. Scope of Service: Panel & Control Layer vs. Infrastructure Layer

1.1 The Control Layer: SharkCluster operates strictly as a Software-as-a-Service (SaaS) management panel, automation platform, and support orchestration layer. SharkCluster assists Customers in configuring, deploying, monitoring, and managing applications on Virtual Private Servers (VPS) and cloud instances.

1.2 The Infrastructure Layer (Third-Party Providers): SharkCluster does not own, operate, host, or control physical servers, data centers, hardware arrays, or upstream telecom networks. All underlying compute, storage, power, and bandwidth resources are provisioned from and hosted by independent third-party infrastructure providers ("Providers"). Currently live:

  • DigitalOcean, LLC
  • Contabo GmbH
  • OVHcloud

Additional Providers (including The Constant Company, LLC (Vultr) and Hetzner Online GmbH) are in active integration and will be added to this list, and to Sections 1.3 and 2, once live.

1.3 Pass-Through Terms: Every server provisioned or connected through SharkCluster is subject to the underlying Provider's terms, policies, and operational constraints. You agree to review and comply directly with the upstream Provider terms:

1.4 Deployment Models:

  • Managed / Bundled Instances: Where SharkCluster provisions the instance under its master account, the Customer pays a bundled fee for the panel and pass-through infrastructure. No direct contractual relationship is formed between the Customer and the underlying data center.
  • Bring Your Own Cloud (BYOC): Where the Customer connects their own Provider API keys or cloud tokens, infrastructure billing, quotas, and contractual terms are solely between the Customer and that Provider.

2. Disclaimer of Liability for Third-Party Hardware, Outages, and Data Loss

2.1 To the maximum extent permitted by applicable law, SharkCluster expressly disclaims all liability for any loss, damage, downtime, operational failure, or security compromise resulting from:

  • Hardware failures, power grid interruptions, cooling failures, or network routing degradation at third-party data centers
  • Unscheduled, emergency, or scheduled maintenance initiated by an upstream Provider
  • Physical security incidents, natural disasters, or facility closures at data centers
  • Account-level suspension, IP blacklisting, or resource termination initiated by an upstream Provider due to suspected network abuse or Provider-side policy enforcement
  • Price increases, currency fluctuations, or regional instance decommissioning imposed by Providers

2.2 Provider SLA Remedies: SharkCluster will make commercially reasonable efforts to assist Customers in claiming service credits offered by an upstream Provider for qualified outages, but does not guarantee the outcome of such claims and is not an independent guarantor of Provider uptime.

3. Forced Migration

If a Provider discontinues a service, region, or data center that a Customer's server depends on, SharkCluster may migrate the affected server to comparable infrastructure with reasonable advance notice where the Provider furnishes it. SharkCluster is not liable for downtime, configuration differences, or data transfer time arising from a migration made necessary by a Provider's own discontinuation decision. Where feasible, SharkCluster will notify affected Customers and offer guidance on backing up data prior to migration.

4. Backups, Data Integrity, and Customer Data Custody

4.1 No Custodial Duty: SharkCluster is not a data backup service, data custodian, or data escrow agent.

4.2 Best-Effort Automation: All automated backup, snapshot, disk cloning, or database export features provided in the panel are convenience tools provided on a best-effort basis without warranty.

4.3 The Customer is strictly and solely responsible for maintaining independent, redundant, off-site backups of all application files, databases, configurations, and customer data outside the managed instance.

4.4 SharkCluster assumes no liability for data loss, corruption, database degradation, incomplete snapshots, or restoration failures, whether caused by hardware malfunction, disk failure, software bugs, cyber attacks, or user configuration error.

5. One-Click Applications & Third-Party Open Source Software

5.1 SharkCluster's one-click deployment catalog (e.g., WordPress, Strapi, Ghost, Chatwoot, Docker, Node.js stacks) installs open-source or third-party licensed software directly onto the Customer's server.

5.2 SharkCluster is not the author, maintainer, or owner of such third-party software and does not warrant its security, stability, or suitability for any specific commercial purpose. The Customer is solely responsible for ongoing patching, plugin updates, vulnerability management, and database optimization.

6. AI Support Assistant Disclaimer

Any AI-powered troubleshooting assistant integrated into SharkCluster provides informational suggestions on an "as-is" basis and does not replace certified human system administration. SharkCluster accepts no liability for command execution, system changes, or data corruption resulting from following automated AI suggestions.

7. User Indemnification

The Customer agrees to indemnify, defend, and hold harmless SharkCluster, its directors, officers, employees, agents, and affiliates from claims, damages, losses, fines, and costs (including reasonable legal fees) arising out of:

  1. Any content, software, or data hosted, processed, or stored on your managed servers
  2. Any violation by the Customer (or your end-users) of these Terms, the Acceptable Use Policy, or an upstream Provider's AUP
  3. Any third-party IP infringement, defamation, privacy violation, or data breach originating from your server
  4. Any regulatory penalties or legal actions triggered by the Customer's business operations

8. Limitation of Liability

8.1 SharkCluster is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, goodwill, data, or anticipated savings — regardless of whether SharkCluster was advised of the possibility of such damages.

8.2 To the maximum extent permitted by Indian law, SharkCluster's total cumulative liability arising out of the Service, under contract, tort, or otherwise, is capped at the total amount paid by the Customer to SharkCluster for the panel management service during the three (3) months immediately preceding the event giving rise to the claim.

8.3 Nothing in this section limits liability that cannot be limited under applicable Indian law, including liability for gross negligence, willful misconduct, or fraud.

9. Billing, Payments, Taxes, and Overages

9.1 Base Subscription Fees: Billed in advance on a monthly or annual cycle. By providing payment details, you authorize recurring charges until formal cancellation.

9.2 Post-Paid / Metered Usage: Charges for bandwidth overage, additional storage, snapshots, floating IPs, or load balancer traffic are calculated at the end of each billing cycle. The Customer authorizes SharkCluster (via Razorpay) to automatically charge the payment method on file for accrued usage charges.

9.2a Card Verification Charge: Adding a payment method involves a small verification charge, applied as account credit rather than refunded separately — see the Refund & Cancellation Policy, Section 4, for full terms.

9.3 Taxes & GST: Invoices comply with Indian GST law. Customers registered under GST are responsible for their own TDS filings and reconciliation.

9.4 Suspension for Non-Payment: If payment fails, SharkCluster will notify the Customer. Outstanding balances unpaid after three (3) calendar days result in suspension; continued non-payment after seven (7) calendar days results in termination and data deprovisioning.

10. Force Majeure

SharkCluster is not liable for failure or delay in performance caused by events beyond reasonable control, including acts of God, war, civil unrest, utility or power grid failure, undersea cable or telecom outages, DDoS attacks against upstream Providers, or governmental embargo.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat.
